Posthumous communications company formalizes its corporate structure to position the company for future investment and growth
The conversion formalizes the company’s corporate structure and is intended to position the company for future investment and growth as it builds its platform.
Membrance was founded in 2016 as Membrance LLC, which was incorporated in Delaware on Oct. 26, 2016. The company re-incorporated in New Jersey on March 21, 2024, before completing the conversion. Membrance Inc. operates in New York.
“People who use Membrance are trusting us with messages that may not be opened for decades,” a Membrance spokesperson said. “A corporate structure gives that promise a more durable foundation and prepares the company for its next stage.”
The Membrance platform is designed to let people record, encrypt and schedule video messages that are delivered to loved ones after they have passed away. A grandparent might record a birthday message for a grandchild who has not yet been born, for example, and schedule it to arrive years later.
To enable a user’s account, users designate trusted friends or family members as Digital Executors, who confirm that the user has passed away. The service is designed to be free to use, with no credit card required, offering individuals one free video message, with additional messages available for in-app purchase.
Security is central to the platform’s design. Membrance is hosted on Amazon Web Services (AWS) and uses multi-factor authentication and AES-256 encryption to protect stored messages.
The company is also developing AI voice and video interactions. These features are in development and are not part of the current platform.
Because Membrance commits to delivering messages that may be scheduled far into the future, the company views long-term stability as part of its obligation to users and the families who will one day receive their messages. The conversion to a corporation is a step toward that goal.
